2. Acceptance

By accessing the website or using our services you agree to these Terms, our AML Policy, Refund Policy and Privacy Notice. If you act on behalf of a company, you confirm you are authorised to bind it.

3. Services

Y tokens provides data tokenization, secure vaulting and related payment-data infrastructure to businesses. Specific service scope, fees and service levels are set out in an individual service agreement or order form, which prevails over these Terms in case of conflict.

4. Eligibility and onboarding

Services are offered to legal entities and business customers only. Access is subject to successful completion of our Know Your Customer / Know Your Business checks, sanctions screening and risk assessment under our AML Policy. We may decline any application without giving reasons where permitted by law.

5. Customer obligations

You agree to:

• Provide accurate, complete and up-to-date information and documents
• Use the services only for lawful purposes and in compliance with applicable laws, including PCI DSS, GDPR and AML/CTF rules
• Keep your credentials confidential and notify us of unauthorised access immediately
• Not use the services for any prohibited or sanctioned activity

6. Fees and payment

Fees are stated in your order form. Invoices are payable within the period stated there. Late payments may incur statutory interest. All fees are exclusive of VAT and other applicable taxes unless stated otherwise.

7. Data protection and security

We process personal data in accordance with the EU General Data Protection Regulation (GDPR). Where we act as processor for you, a Data Processing Agreement applies. We maintain industry-standard technical and organisational security measures.

8. Intellectual property

All rights in the website, platform, software and brand remain with Y tokens or its licensors. You receive a limited, non-exclusive, non-transferable right to use the services during the term of your agreement.

9. Suspension and termination

We may suspend or terminate services immediately where required by law or a regulator, where we suspect fraud, money laundering, terrorist financing or sanctions breaches, or where you materially breach these Terms. Either party may terminate in accordance with the service agreement.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit or data. Our aggregate liability is limited to the fees paid by you in the twelve months preceding the claim. Nothing limits liability that cannot be limited by law.

11. Complaints

Complaints can be sent to compliance@ytokens.com. We acknowledge complaints within 5 business days and aim to resolve them within 15 business days.

12. Changes

We may update these Terms. Material changes will be notified at least 30 days in advance. Continued use after that date constitutes acceptance.

13. Governing law and jurisdiction

These Terms are governed by the laws of [jurisdiction of incorporation]. Disputes are subject to the exclusive jurisdiction of its competent courts, without prejudice to mandatory consumer or statutory rights.
